Terms of Service

Who we are

These terms govern use of Incident Copilot ("the Service") at incident-response-ai.noviqent.co.uk, provided by Noviqent Ltd, company no. 17232197, registered in England & Wales ("Noviqent", "we", "us"). By creating an account or using the Service, you and your organisation accept these terms.

The Service

The Service receives alerts from systems you connect, gathers context from your Grafana, GitHub, and Jira, uses a large language model to produce a root-cause hypothesis and a proposed fix, and packages that as a ticket in your Jira project and, for code fixes, a draft pull request in your repository.

What the Service does not do

The Service does not execute commands against your infrastructure, merge pull requests, deploy code, or trigger CI/CD pipelines. Proposed commands are stored and displayed to you; running them is your action and your decision. Approving an analysis within the Service records your approval — it does not cause anything to be applied.

Your account and your connectors

You're responsible for the accuracy of your account details and for keeping your credentials secure. If you're an organisation admin, you're responsible for the roles you grant other members, and for the scope of the credentials you supply for each connector — we recommend the narrowest permissions that let each connector do its job, as described in our documentation.

Acceptable use

You agree not to: connect a system you're not authorised to connect; attempt to access another organisation's data; probe, disrupt, or reverse-engineer the Service beyond what's needed for ordinary use; or resell or provide the Service to third parties without our written agreement.

Your data

You and your organisation retain all rights to the alerts, context, code, and analyses the Service processes and generates for you. You grant Noviqent a limited licence to process that data solely to provide the Service, on the terms set out in our Privacy Notice and, where your organisation has one in place, your Data Processing Agreement with us. Providing the Service includes sending gathered incident context to our AI sub-processor — see the sub-processor register.

Analyses are advisory

Root-cause hypotheses, confidence ratings, proposed commands, and draft pull requests are generated by a large language model. They are provided to help your team investigate faster. They are not verified conclusions, and a high confidence rating is the model's own assessment rather than a guarantee. A proposed fix may be wrong, incomplete, or inappropriate for your environment.

Your organisation remains responsible for reviewing every proposal before acting on it, and for the consequences of any change your people choose to make. Nothing in the Service is a substitute for your own change-management, testing, or release process.

Fees

Where your plan is a paid one, fees are as set out in your order form, invoice, or account settings, and are due as stated there.

Availability

We aim to keep the Service available and will give notice of planned maintenance where practical, but we don't guarantee uninterrupted availability unless a specific uptime commitment is separately agreed in writing. The Service is not a monitoring or alerting system and must not be relied on as one — if it is unavailable, your own alerting continues to operate independently of it.

Intellectual property

Noviqent retains all rights in the Service itself, including its pipeline, prompts, and connector implementations. Analyses and tickets generated for your organisation are yours to use internally.

Liability

To the extent permitted by law, Noviqent's total liability arising from these terms or the Service is limited to the fees your organisation paid in the 12 months before the claim arose. Nothing in these terms limits liability that can't lawfully be limited, including for fraud or for death or personal injury caused by negligence.

Termination

Either party may terminate an account or subscription as set out in your order form, or on reasonable notice where none is specified. On termination, we'll delete your organisation's data within a reasonable period, other than what we're required to retain.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.

Changes to these terms

We'll post updates here and, where a change is material, make reasonable efforts to notify organisation admins directly.
